Who this agreement is between
These terms are the agreement between Your Numainda ("Your Numainda", "we", "us") and the business using our service ("you", "the merchant"). They apply the moment you ask us to set up an account, send your first message through us, or pay an invoice. If you are agreeing on behalf of a company, you confirm you are entitled to bind it. Where we have signed a separate written agreement with you, that document wins wherever the two disagree. If any part of these terms does not suit your business, tell us before we go live rather than after.
What Your Numainda provides
We act as your store's representative on WhatsApp. That means answering the questions your customers send, confirming cash-on-delivery orders before dispatch, sending order and delivery updates, and passing anything we cannot answer back to you. The service runs on the official WhatsApp Business Platform (Meta Cloud API). We write your message templates and submit them to Meta for approval, we provide the wording of the checkout consent box, and we connect to your order source so the updates we send reflect real orders. We are a service provider, not a courier, a payment processor or a seller: we message about your orders, we do not fulfil them.
We are independent of Meta
Your Numainda is an independent Pakistani business. We are not affiliated with, partnered with, sponsored by, endorsed by, or an agent of WhatsApp, Meta Platforms or Facebook. "WhatsApp" and "Meta" are their trademarks and we use those names only to describe the platform our service runs on. Your use of WhatsApp is also subject to Meta's own terms and policies, which Meta may change at any time, and we cannot vary them on your behalf.
Consent is not negotiable
This is the term we enforce most strictly, because it protects your number as much as your customers. You may only give us contact details of people who actively opted in at your checkout, by ticking an empty box that names your store and states that support and order updates will come on WhatsApp. You must keep proof of that consent and produce it if we or Meta ask. You must not supply purchased lists, scraped numbers, contacts imported from another platform, or customers from before the consent box existed. If we find that numbers were added without consent, we will stop sending immediately and may end this agreement without notice. We will not make an exception for a large account.
What you must not ask us to do
The following are outside the service and we will decline them, regardless of the fee offered: sending promotional or discount campaigns through the support channel; messaging anyone who did not opt in or who has replied STOP; disguising marketing as an order update; impersonating another business, a courier, a bank or a government body; sending content that is unlawful, deceptive, hateful, adult, or that promotes prohibited goods; using the service to gather data for a purpose you have not disclosed to your customers; or attempting to circumvent Meta's rate limits, quality ratings or template review. Requests of this kind may end the agreement on the spot.
Template review sits with Meta
Every message we send on your behalf uses a template that Meta has approved in advance. We draft the wording, submit it, and rework anything that is rejected. Meta controls approval, timing and category, and it can pause or reject a template at any time for reasons it does not always explain. We cannot promise a template will be approved, nor how quickly. You must not ask us to send content that differs from what was approved.
Your account and access
Keep your login details private and let us know promptly if you believe someone else has them. You are responsible for what is done through your account, including by your staff. Give us accurate business details and keep them current — an out-of-date phone number or address on your account can hold up template approval and, in the worst case, cause a suspension we cannot appeal for you.
What it costs, and how it is billed
Charges, the billing cycle and any per-message costs are set out in your quotation or order form. Meta charges separately for conversations on the WhatsApp Business Platform and those charges are passed through at cost. Invoices are payable within the period stated on them. If an invoice remains unpaid, we may suspend sending after giving you notice; suspension does not clear the amount owed. Prices may change with thirty days' written notice, which gives you time to leave if the new price does not work for you.
Your responsibilities under the law
As the merchant you are the data controller for your customers' information, and you are responsible for the accuracy of what you sell, your delivery and returns commitments, your own privacy notice, and compliance with Pakistani consumer and data protection law. We act on your instructions as processor. You agree to indemnify us against claims arising from your products, your delivery promises, or contact details supplied to us without valid consent.
Availability and changes
We aim to keep the service running continuously, but we do not offer an uptime guarantee unless one is written into a separate agreement with you. Maintenance, platform incidents at Meta, network faults and events outside our control can interrupt delivery. We may improve, change or retire parts of the service; where a change materially reduces what you receive, we will give reasonable notice.
What we do not guarantee
We do not guarantee that your WhatsApp number will never be restricted, that your quality rating will stay high, that a template will be approved, that a message will be delivered or read, or that your sales or returns will move by any particular amount. Those outcomes depend on Meta, on your customers and on your own products and service. Anyone in this industry promising otherwise is selling something they cannot deliver. What we do commit to is a compliant setup, honest sending practices and a straight answer when something goes wrong.
Limits of liability
To the extent the law allows, neither party is liable for indirect or consequential loss, including lost profit, lost sales, lost data or reputational harm. Our total liability for any claim arising out of the service is limited to the fees you paid us for the three months immediately before the event that caused the claim. Nothing here limits liability for fraud, wilful misconduct, or anything that cannot lawfully be limited.
Ending the agreement
Either of us may end this agreement with thirty days' written notice. We may suspend or terminate immediately if consent rules are broken, if the service is used for anything prohibited above, if an invoice remains unpaid after notice, or if Meta withdraws access. On termination we stop sending, you settle anything outstanding, and your data is handled as described in our Privacy Policy. You may ask for an export of your conversation records before deletion; ask within thirty days of termination.
Which law applies, and how to reach us

Messaging and acceptable-use summary
For quick reference, and because it is the part that matters most: we message only people who ticked an empty consent box at your checkout; every send uses a template Meta approved beforehand; STOP removes a number instantly and permanently for that store; we send support and order updates, never marketing campaigns or cold outreach; we do not accept purchased, scraped or imported contact lists; and we are independent of WhatsApp, Meta and Facebook. Breaking these rules is the fastest way to lose a WhatsApp number, which is why we treat them as conditions of service rather than suggestions.
